Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the website at solaanalytics.com (the "Site") and the financial reporting and budgeting platform and related services (the "Platform," and together with the Site, the "Services") provided by Sola Analytics LLC ("Sola," "we," "us," or "our"). By accessing the Site or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Relationship to Customer Agreements

If you access the Platform under a separate written agreement between Sola and your organization (for example, a master services or subscription agreement), that agreement governs your organization’s use of the Platform and, in the event of a conflict, controls over these Terms with respect to the Platform. These Terms otherwise apply to your use of the Site and, absent such an agreement, to your use of the Services.

3. The Services

Sola provides a multi-tenant software-as-a-service platform for financial reporting and budgeting. The Site provides general information about Sola and its Services. We may change, suspend, or discontinue any part of the Services at any time.

4. Eligibility and Accounts

The Platform is intended for authorized business users. Access is provisioned by administrators; the Platform does not offer public self-registration. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you must notify us promptly of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation;
  • Access or attempt to access any data or account you are not authorized to access;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;
  • Introduce malware or any harmful code; or
  • Use the Services to build a competing product or for any unlawful, infringing, or harmful purpose.

6. Intellectual Property

The Services, including all software, content, and trademarks, are owned by Sola or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended business purpose. All rights not expressly granted are reserved.

7. Customer Data

As between the parties, your organization retains ownership of the data it submits to the Platform ("Customer Data"). You grant Sola a limited license to host, process, and use Customer Data solely to provide and support the Services. We handle Customer Data in accordance with our Privacy Policy and the applicable customer agreement.

8. Feedback

If you provide suggestions or feedback about the Services, you grant Sola a perpetual, royalty-free license to use it without restriction or obligation to you.

9. Third-Party Services

The Services rely on third-party providers (for example, Microsoft Azure and Microsoft Fabric). We are not responsible for third-party services, and your use of them may be subject to their own terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION WILL BE ACCURATE OR COMPLETE. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. SOLA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SOLA FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. Where a separate customer agreement applies, its liability terms control for the Platform.

12. Indemnification

You agree to indemnify and hold harmless Sola and its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services or your violation of these Terms or applicable law.

13. Suspension and Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Services or others. Provisions that by their nature should survive termination will survive.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new effective date, and material changes take effect when posted. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Except where a separate customer agreement provides otherwise, the exclusive venue for any dispute will be the state or federal courts located in Collin County, Texas, and you consent to their jurisdiction.

16. Dispute Resolution

Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting ataylor@solaanalytics.com. To the extent permitted by law, any claims will be brought in an individual capacity and not as part of a class or representative action.

17. Miscellaneous

These Terms, together with any applicable customer agreement and our Privacy Policy, are the entire agreement between you and Sola regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
